1.1 This document governs the Training service provided by Basel Al-Mashharawi Establishment for Management and Development Consulting (referred to as “MashCo” or the “Establishment”), a sole establishment registered in the Hashemite Kingdom of Jordan under commercial register no. 599229, licensed by the Jordan Media Commission under licence no. M N I/1258/Studies and Research House/2026, with its registered address in Amman, Jordan.
1.2 “Participant” means the natural person enrolled in the training programme. “Sponsoring entity” means the company or organisation that enrols its employees in the programme and bears their fees.
1.3 Completing enrolment in the programme or paying its fees constitutes acceptance of these Terms and Conditions.
1.4 Sponsoring entity: Where a sponsoring entity enrols its employees, it undertakes to make these Terms known to them, and the Terms apply to both the entity and the Participants, each as regards the matters concerning it. The special agreement concluded with the sponsoring entity prevails over the provisions of this document to the extent expressly stipulated therein.
3.1 Obligation of means: MashCo's obligation is to deliver the programme with its announced content and with reasonable professional competence; it is not an obligation to achieve a result.
3.2 No warranty of outcome: MashCo does not warrant that the Participant will achieve any particular professional, employment or financial outcome as a result of attending the programme, since the benefit derived depends on the Participant's own effort and working circumstances.
3.3 Nature of the certificate: The certificate issued by MashCo is a certificate of attendance or completion issued by MashCo itself. It is not a professional accreditation certificate from any regulatory or professional body, unless expressly stated otherwise in the programme description.
3.4 Limits of expertise: The programme content does not constitute legal, tax, accounting or investment advice directed at the Participant's own situation or that of its organisation, and does not replace consulting duly licensed specialists.
3.5 No advisory relationship: Enrolment in the programme does not create an advisory relationship between MashCo and the Participant, and any examples or applications presented during the programme are for educational purposes only.
4.1 An enrolment request is submitted via email: Info@Mashcoai.com / WhatsApp Business 00962789942143, and the Participant undertakes to provide accurate and complete details.
4.2 Booking confirmation: Enrolment is not accepted and the seat is not guaranteed until the fees have been paid in full in accordance with clause 13, unless MashCo agrees otherwise in writing.
4.3 Limited seats: Seats are allocated in order of completed payment, and MashCo may close enrolment once the number of seats is filled.
5.1 Right to make changes: MashCo may change the programme's dates, its venue or its delivery format, change the trainer, or engage more than one trainer, giving the Participants notice as soon as possible and without materially affecting the programme's content or duration.
5.2 Delivery format and alternatives: The programme is delivered in the format announced at the time of enrolment, whether in person or online. If the announced format cannot be delivered for reasons beyond MashCo's control, MashCo may deliver the programme in an alternative format with the same content and duration, giving the Participants notice. This does not constitute a breach and gives rise to no refund.
5.3 Cancellation or postponement by MashCo: If MashCo cancels or postpones the programme for any reason, the Participant may elect either to move to an alternative date or to obtain a full refund of the fees in accordance with clause 14.4. MashCo bears no further liability for travel, accommodation or any other expenses incurred by the Participant.
6.1 Exclusion of liability: To the maximum extent permitted by law, MashCo shall bear no liability for any indirect, incidental or consequential damages, nor for any loss of profit or opportunity, arising from the programme or from the Participant's application of its contents.
6.2 Cap on liability (fallback): If, for any reason, the exclusion in clause 6.1 is held to be unenforceable in whole or in part, MashCo's aggregate liability shall not in any event exceed the value of the fees actually paid by the Participant for the programme to which the claim relates.
6.3 Matters not subject to limitation: The limitations in this clause do not apply to liability arising from fraud, wilful misconduct or gross negligence, from personal injury, or from any liability that Jordanian law does not permit to be excluded or limited.
6.4 Participant's property: MashCo bears no liability for the loss of or damage to the Participant's personal property at the training venue, unless caused by MashCo's gross negligence.
6.5 Participant's indemnity to MashCo: The Participant shall indemnify MashCo against any claims, losses or expenses arising from its breach of this document, in particular those relating to infringement of intellectual property rights in the training materials.
7.1 Neither party shall be liable for any breach of or delay in performing its obligations where this is due to causes beyond its reasonable control, such as natural disasters, epidemics, civil unrest, governmental decisions, closure of premises and large-scale technical outages.
7.2 In such a case, MashCo shall endeavour to deliver the programme on an alternative date or in an alternative format in accordance with clause 5.2. If that is not possible, the fees shall be refunded in respect of the undelivered portion.
8.1 Exclusion for conduct: MashCo may exclude any Participant who breaches the rules of professional conduct, disrupts the running of the programme, or behaves offensively towards any of the participants or trainers. Exclusion follows a warning, unless the seriousness of the conduct calls for immediate exclusion, and carries no obligation to refund the fees.
8.2 Termination for infringement of intellectual property: MashCo may terminate the Participant's participation immediately and withdraw its access to the digital content upon breach of the intellectual property clause, with no obligation to refund the fees, and while reserving its right to claim compensation.
8.3 Withdrawal: A Participant's withdrawal and its financial consequences are governed by the refund terms in clause 14.
8.4 Surviving clauses: The provisions on intellectual property, confidentiality, limitation of liability and governing law survive the end of the programme or exclusion from it.
9.1 To deliver the programme with the content, duration and delivery format announced at the time of enrolment.
9.2 To provide a qualified trainer with practical experience in the subject of the programme.
9.3 To provide the Participant with the necessary training materials digitally during the programme period.
9.4 Training environment: To provide a suitable training environment. Where the programme is delivered in person at premises designated by MashCo, MashCo undertakes to equip the room and provide the necessary facilities. Where it is delivered online, MashCo provides the streaming platform and the access links.
9.5 To notify the Participants as soon as possible of any change to the date, venue, trainer or delivery format.
9.6 Service delivery: The programme is delivered on the dates and in the format announced at the time of enrolment, and the access links or attendance details are sent to the Participant’s registered email address before the programme begins. The service involves no physical shipment.
9.7 Support during the programme: To respond to Participants' enquiries relating to the programme content during its period via email: Info@Mashcoai.com / WhatsApp Business 00962789942143.
10.1 Conditions for issuing the certificate: MashCo issues the certificate to a Participant who achieves an attendance rate of not less than 80%.
10.2 Issuance date: The certificate is delivered within 5 business days of the end of the programme, in electronic form.
10.3 Availability of digital content: Digital content and recordings — where they exist — are available from the date they are made available to the Participant until the expiry of 30 days from the date the programme ends, after which availability ceases with no obligation to extend it.
10.4 Continuity of availability: MashCo does not warrant uninterrupted availability of the digital content, and is not answerable for any interruption arising from maintenance work, from the platform provider, or from the Participant's own connection.
The Participant's obligations comprise the following: attendance and participation (clause 11), terms of use (clause 12), payment terms (clause 13), refund terms (clause 14), and intellectual property terms (clause 15).
11.1 To adhere to the programme's schedule and attend at the appointed time, and to give advance notice where attendance is not possible.
11.2 To observe the rules of professional conduct, to respect the trainer and the participants, and not to disrupt the running of the sessions.
11.3 To take part in the exercises and practical activities to the extent the programme requires.
11.4 Technical readiness: Where the programme is delivered online, the Participant bears responsibility for providing a suitable internet connection and a working device. Problems with the Participant's connection do not constitute grounds for a refund or for compensatory sessions.
11.5 Effect of absence: Absence gives rise to no refund and no compensation by way of additional sessions, and affects entitlement to the certificate in accordance with clause 10.1.
11.6 Training at the sponsoring entity's premises: Where the programme is delivered at the sponsoring entity's premises, that entity undertakes to provide the room, the equipment, the internet connection and the safety of the site free of charge, and in a manner that enables MashCo to deliver on schedule.
The Participant undertakes, in using the programme and the training materials, as follows:
12.1 Personal nature: Enrolment is personal to a single Participant. It is prohibited to enable others to attend the sessions in the Participant's name, or to share the access links or the credentials for the digital content, even free of charge.
12.2 No recording or broadcasting: It is prohibited to record the sessions in audio or video, to capture screenshots of the content, or to broadcast or republish them by any means, without MashCo's prior written permission.
12.3 Educational purpose: To use the training materials solely for the Participant's own personal learning, or for the internal business purposes of the sponsoring entity where one exists.
12.4 No commercial use: It is prohibited to use the training materials to train others or in any commercial activity, or to build or market a training programme competing with MashCo.
12.5 No use in training models: It is prohibited to use the training materials or the session recordings to train artificial-intelligence or machine-learning models without prior written permission.
12.6 Respect for participants' privacy: To keep confidential any information disclosed during the programme concerning other participants or their organisations, and not to photograph participants or publish their data without their consent.
12.7 Lawfulness: Not to use the programme or its materials for any purpose contrary to the applicable laws or that infringes the rights of others.
MashCo reserves the right to exclude the Participant or terminate participation upon any breach of this clause, in accordance with clauses 8.1 and 8.2.
13.1 Core training programme: priced at USD 399 per Participant.
13.2 Payment in advance: Fees are paid in full before the programme begins; the booking is not confirmed and the seat is not guaranteed before payment.
13.3 What the fees cover: The fees cover the training content, the materials and the certificate, unless stated otherwise in the programme description.
13.4 Currency: Published prices are in US dollars. For Participants within Jordan the invoice is issued in Jordanian dinars at the equivalent amount, using the exchange rate prevailing at the time of invoicing.
13.5 Tax: All published prices are exclusive of sales tax; tax legally due is added on top of them at the time of invoicing.
13.6 Payment methods and charges: MashCo accepts payment by bank transfer, credit card or online payment gateway. The Participant bears any bank transfer charges or payment-intermediary fees.
13.7 Sponsoring entity: Where a sponsoring entity undertakes to pay the fees, it remains responsible for paying them in full regardless of its employees' attendance, and payment dates are governed by the quotation or the special agreement.
13.8 Late payment: Where the sponsoring entity fails to pay on the due date, MashCo may withhold the certificates or suspend access to the digital content until payment is made, after notifying the entity.
14.1 Form of cancellation: A cancellation request must be made in writing via email: Info@Mashcoai.com / WhatsApp Business 00962789942143, and the date on which MashCo receives it — not the date on which it was sent — is the operative date.
14.2 In-person and live online training: The full fee is refunded where the cancellation request is received at least 48 hours before the programme's start time. No amount is refunded where the request is received within the 48 hours preceding the start, or after the programme has begun.
14.3 Self-paced digital programmes: For programmes delivered solely as self-paced digital content without live sessions, no amount is refunded once the content has been made available to the Participant or the Participant has accessed it, given its instantly reproducible nature. This clause does not apply to recordings of live programmes, which are governed by clause 14.2.
14.4 Cancellation or postponement by MashCo: If MashCo cancels or postpones the programme in accordance with clause 5.3, the Participant may elect either to move to an alternative date or to obtain a full refund of the fees.
14.5 Discontinuation after the start: No full or partial refund arises where the Participant discontinues after the programme has begun, or is absent, whatever the reason.
14.6 No refund upon exclusion: No refund arises where the Participant has been excluded or their participation terminated in accordance with clauses 8.1 and 8.2.
14.7 Substitute participant: The Participant or the sponsoring entity may substitute another person in their place, provided that MashCo is notified in writing at least 24 hours before the programme's start time and is given the substitute's details. The certificate is issued in the name of the person who actually attended.
14.8 Transfer of the booking to a later date: The booking may not be transferred or postponed to a later course. The Participant's options are limited to cancellation under clause 14.2 or substitution under clause 14.7.
14.9 Processing: Approved refund requests are processed within 7–14 business days and refunded exclusively to the original payment method, after deduction of any transfer or payment-intermediary fees.
15.1 Ownership of the materials: All training materials — presentations, documents, exercises, templates, recordings and digital content — are the exclusive property of MashCo or its licensors, and are protected by the Jordanian Copyright and Related Rights Protection Law No. 22 of 1992 and its amendments.
15.2 Participant's licence: The Participant is granted a personal, non-exclusive licence that is non-transferable, non-assignable and non-sublicensable, for the purposes of their own learning; no ownership right in the materials passes to them.
15.3 Prohibited acts: It is prohibited to copy, translate, modify, excerpt, resell, publish or upload the materials to any platform or website; doing so constitutes an infringement giving rise to civil and criminal liability.
15.4 Proprietary notices: The Participant undertakes not to remove or obscure any watermark, proprietary notice or copyright notice appearing on the materials.
15.5 Participant's own work: The exercises and work produced by the Participant themselves during the programme remain their property, while MashCo retains ownership of the templates and methodologies used in producing them.
15.6 Trademarks: This document grants the Participant or the sponsoring entity no right to use the “MashCo AI” mark or its logo without prior written permission. The certificate may not be used to imply a partnership with, accreditation by, or representation of MashCo.
15.7 Continuing effect: The obligations under this clause remain in force without time limit after the end of the programme or exclusion from it.
16.1 MashCo complies with Jordanian Personal Data Protection Law No. 24 of 2023 and the instructions issued thereunder.
16.2 Data collected: The Participant's data (name, email address, telephone number, job title, employer, billing details) is collected for the purposes of enrolment, programme administration, issuing certificates, communication and evaluation.
16.3 Legal basis: Processing is based on performance of the contract with the Participant, on a legal obligation, on legitimate interest, or on the Participant's consent where the law requires it.
16.4 MashCo's capacity: MashCo acts as “data controller” in respect of the data of Participants enrolled with it directly. Where a sponsoring entity provides it with its employees' data for enrolment, MashCo acts in respect of that data as “processor”, processing it in accordance with the entity's instructions, and the entity bears responsibility for the lawfulness of providing it and for informing its employees.
17.1 Sharing with the trainer: The Participant's basic data is shared with the programme trainer to the extent necessary to deliver it.
17.2 Recording of sessions: Sessions may be recorded for quality purposes or to make them available to Participants, and Participants are notified before recording begins. Recording is confined to the trainer's presentation, their screen and the content delivered; Participants' cameras are not recorded deliberately. Where a Participant takes part by voice or their image appears within the recording, they may request that their contribution be concealed or deleted, and MashCo shall comply with the request so far as is technically possible.
17.3 Reports to the sponsoring entity: Where a sponsoring entity enrols its employees, it may be provided with an attendance report and the evaluation results for its employees, and Participants are notified of this at the time of enrolment.
17.4 Service providers: Data may be processed by trusted service providers (such as the streaming platform, learning management tools or the payment gateway) to the extent necessary to run the programme and under appropriate confidentiality obligations. Some of them may be located outside Jordan, subject to appropriate safeguards.
17.5 No sale of data: Participants' data is not sold to external parties for their direct marketing purposes.
17.6 Marketing: MashCo may contact the Participant regarding its future programmes, and the Participant may unsubscribe at any time via email: Info@Mashcoai.com / WhatsApp Business 00962789942143.
17.7 Retention: MashCo retains the Participant's data for as long as necessary for the purposes stated or as the law requires, and retains certificate issuance records for one year for verification purposes.
17.8 Participant's rights: The Participant has the right to access their data, to have it rectified, to request its erasure, to object to its processing and to withdraw their consent, in accordance with Jordanian law, by contacting email: Info@Mashcoai.com / WhatsApp Business 00962789942143. Requests are handled within 30 days.
17.9 Security and breach notification: MashCo applies reasonable technical and organisational protection measures, and undertakes to notify the competent authorities and the persons concerned upon the occurrence of a breach affecting their data, in accordance with the requirements of Jordanian law.
18.1 Entire agreement and order of precedence: This document, together with the published programme description and the sponsoring entity's agreement, constitutes the entire agreement between the parties. In the event of conflict, the programme description prevails as regards content, dates and fees; the sponsoring entity's agreement prevails to the extent expressly stipulated therein; and thereafter the provisions of this document apply.
18.2 Severability: If any clause is found void or unenforceable, it shall be replaced by the closest lawful provision in effect, and the remaining clauses shall continue in force.
18.3 No waiver: A party's failure to exercise a right, or delay in exercising it, does not constitute a waiver of that right.
18.4 No assignment of enrolment: The Participant may not assign their enrolment to another person except in accordance with clause 14.7.
18.5 Notices: Notices are given in writing to the parties' registered email addresses and are deemed effective from the date of dispatch, unless a delivery failure notice is received. The Participant undertakes to keep their email address updated with MashCo.
18.6 Complaints and dispute escalation: Complaints relating to the programme are submitted in writing within 5 days of its end via email: Info@Mashcoai.com / WhatsApp Business 00962789942143. MashCo undertakes to acknowledge receipt of the complaint within two business days and to provide a substantive response within 7 business days. If the complaint is not resolved satisfactorily, the Participant may escalate it to the Consumer Protection Directorate at the Ministry of Industry, Trade and Supply.
18.7 Amendment of this document: MashCo may update this document, provided that the version in force on the date of the Participant's enrolment in the programme applies to that Participant.
18.8 Language: This document was drawn up in Arabic, which is the authoritative language for interpretation. Any translation is provided for convenience only, and the Arabic version prevails in the event of any discrepancy.
18.9 Governing law: This document is governed by and construed in accordance with the laws of the Hashemite Kingdom of Jordan.
18.10 Dispute resolution: The parties shall seek to resolve any dispute amicably within 30 days of notice of it. Failing that, the competent courts of Amman shall have jurisdiction.
